These Terms of Use (“Terms”) govern your access to and use of joyandcophx.com (the “Site”) operated by Joy & Co. Photography LLC (“Company,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1) Eligibility and Accounts

You must be at least 18 years old to use the Site. If you create an account, you are responsible for maintaining its confidentiality and for all activities under it.

2) Intellectual Property; License and Access

The Site and all content are owned by Joy & Co. Photography LLC or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to access the Site for your personal, non‑commercial use. No rights are granted except as expressly set out here.

3) Acceptable Use

You agree not to: (a) copy, modify, distribute, or create derivative works; (b) reverse engineer or attempt to extract source code; (c) access the Site using automated means (bots, scrapers) without our consent; (d) introduce viruses or disrupt the Site; (e) use the Site for unlawful, infringing, or harmful purposes; (f) infringe any third‑party rights.

4) User Content; Reviews and Submissions

If you post or send content (reviews, comments, photos, ideas), you grant us a worldwide, perpetual, irrevocable, sublicensable, royalty‑free license to use, reproduce, adapt, publish, and display such content for our business (including marketing). You represent you have the necessary rights and that your content is lawful and non‑infringing.

5) Monitoring; Enforcement; Takedown

We may monitor the Site and remove or disable access to any content in our discretion. If you believe content infringes your rights, notify us at [email protected]. We comply with applicable notice‑and‑takedown obligations.

6) Purchases and Third‑Party Services

If you make a purchase through the Site, you authorize our payment processors to charge your selected method. Third‑party tools, embeds, or links are provided “as is.” We are not responsible for third‑party content, products, or policies.

7) Privacy

Your use of the Site is subject to our Privacy Policy available on the Site. Please review it to understand how we collect and use information.

8) Links to Other Sites

Links to third‑party websites do not imply endorsement. We are not responsible for their content or practices.

9) Changes to the Site and Terms

We may modify or discontinue the Site, and we may update these Terms at any time. Continued use after changes means you accept the updated Terms.

10) Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Joy & Co. Photography LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SITE WILL NOT EXCEED $100.

12) Indemnification

You agree to defend, indemnify, and hold harmless Joy & Co. Photography LLC and its affiliates from and against claims, damages, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to your use of the Site, your content, or your violation of these Terms or applicable law.

13) Dispute Resolution; Binding Arbitration; Class Action Waiver

a) Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.  

b) Venue/Format. The arbitration shall take place in Maricopa County, Arizona or by video/telephone conference, at your election.  

c) Waivers. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS‑WIDE ARBITRATION.  

d) Opt‑Out. You may opt out of this arbitration agreement within 30 days of your first use of the Site by emailing [email protected] with the subject line “Arbitration Opt‑Out” and your full name and contact information.  

e) Small Claims. You may bring qualifying claims in small‑claims court in Maricopa County, Arizona.

14) Governing Law; Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflicts principles. Subject to the arbitration clause, courts in Maricopa County, Arizona have exclusive jurisdiction.

15) Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including acts of God, power or internet failures, or third‑party service disruptions.

16) Severability; Assignment; Entire Agreement

If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms. We may assign them. These Terms constitute the entire agreement regarding your use of the Site and supersede prior agreements.
